These Terms & Conditions apply to your use of The 4 Habits Institute’s websites, online communities, digital learning products, resources and certain services purchased directly from us.

Please read them carefully. They explain who we are, how we provide our products and services, the basis on which you may use them, and your rights and responsibilities.

Additional terms may apply to particular services, events, retreats or organisational engagements. Where we agree specific terms with you that conflict with these Terms, those specific terms will take precedence for the relevant purchase or engagement.

Nothing in these Terms affects any statutory rights you have under applicable law.

In these Terms, references to “The 4 Habits Institute”, “4HI”, “we”, “us” or “our” mean Soulmates Academy Limited trading as The 4 Habits Institute.

  1. What these Terms cover

Our work includes a range of learning, development and professional services. These Terms may apply to:

  • our websites and online services;
  • free resources, assessments and diagnostic tools;
  • the Human Skills Network and other communities or memberships operated by us;
  • self-paced digital learning programmes and courses;
  • downloadable materials, workbooks and other digital resources;
  • assessments and certificates associated with our learning programmes;
  • mentoring, coaching and other professional-development services;
  • workshops, masterclasses, facilitation and consultancy;
  • online and in-person events;
  • residential retreats; and
  • physical products or resources sold directly by us.

The specific description, price, inclusions and other relevant conditions applying to a particular product or service will be set out on the relevant sales page, booking page, checkout, proposal, order form, statement of work or other written agreement.

Some services may also be subject to additional terms or booking conditions.

Where our products, services or communities are provided through a third-party platform, your use of that platform may also be subject to the platform terms presented to you. Those platform terms govern your use of the platform; these Terms govern our supply of products and services to you, except where expressly stated otherwise.

  1. Individual and organisational purchases

Our online consumer checkout is primarily intended for individuals purchasing for themselves.

If you are purchasing for a business, team or organisation, please contact us before purchasing through an individual checkout unless we expressly state otherwise.

Organisational engagements, including consultancy, workshops, facilitated programmes, licensing and other professional services, may be subject to a separate proposal, statement of work, order form, licence agreement or contract.

Where separately agreed terms conflict with these Terms, the specifically agreed terms will take precedence for that engagement.

  1. Your account

Some products and services require an online account.

Your account is personal to you. You are responsible for keeping your login details secure and for activity carried out through your account.

Unless we expressly agree otherwise, you must not share your login details, paid account access or paid learning content with another person.

Please contact us promptly if you believe your account has been accessed without your permission.

  1. Digital learning and licence to use our materials

When you purchase or are granted access to one of our digital learning products, we grant you a limited, personal, non-exclusive and non-transferable licence to use the relevant materials for your own learning and development.

You may download or print materials where we make that functionality available for your own use.

Unless we have given you written permission, you must not:

  • copy, reproduce or republish our materials other than for your personal use;
  • share paid materials or account access with another person;
  • sell, sublicense or commercially exploit our materials;
  • modify our materials and present them as your own;
  • use our materials to create competing training, learning or commercial products;
  • use our proprietary materials to train or develop an artificial-intelligence system or other commercial knowledge product, except where expressly permitted by us; or
  • remove copyright, trademark or other proprietary notices.

Nothing in these Terms transfers ownership of our intellectual property to you.

  1. Access to digital learning

The access period applying to a particular programme will be stated on the relevant sales or programme page where applicable.

We will take reasonable steps to provide reliable access to our digital learning and community services. Access may occasionally be interrupted by maintenance, updates, third-party platform issues, internet outages or circumstances outside our reasonable control.

We may make reasonable updates to programme content and resources from time to time to maintain their relevance, quality and accuracy, provided this does not materially reduce the product you purchased.

If a significant technical problem within our control prevents you from accessing a paid product, please contact us and we will take reasonable steps to resolve it.

  1. Prices, taxes and payment

Prices and any applicable charges will be displayed or agreed before you purchase.

For UK individual customers, prices displayed through our individual consumer checkout will include applicable UK VAT where required.

For customers outside the UK, applicable VAT, GST, sales tax or similar taxes may depend on your location and will be dealt with in accordance with applicable tax rules.

Payment must be successfully completed before access to a paid digital product is provided unless we have agreed otherwise in writing.

Online payments may be processed by third-party payment providers. We do not directly store your complete payment-card details.

We may change our prices from time to time. A subsequent price change will not affect a purchase you have already completed.

  1. Cancellation, immediate access and refunds for digital products

When purchasing digital learning from us online as a consumer, you may have a statutory right to cancel your purchase within 14 days.

Our digital learning programmes may provide access immediately after purchase.

Where you choose immediate access to digital content during the statutory cancellation period, we will ask for your express consent to supply beginning immediately and for your acknowledgement that, once supply begins, you will lose your statutory right to cancel that digital-content purchase.

If you give that consent and acknowledgement and supply begins, your statutory right to cancel the digital-content purchase will end.

This does not affect your statutory rights where digital content is faulty, not as described or otherwise does not comply with applicable consumer law.

Where you retain a statutory right to cancel, or where a refund or other remedy is due under your statutory rights, please contact [email protected].

Nothing in these Terms limits rights that cannot lawfully be excluded or restricted.

  1. Certificates, assessment and professional recognition

Where a programme leads to a certificate, you must satisfy the completion and assessment requirements stated for that programme before a certificate will be issued.

Participation in or completion of a programme does not guarantee any particular employment, promotion, professional appointment, qualification, commercial result or other outcome.

Where we refer to recognition, endorsement, professional-development hours, continuing-professional-development eligibility or similar recognition provided by an external professional body, the relevant body’s own rules and requirements apply.

We will take reasonable care to ensure that statements we make about external recognition are accurate and current.

  1. Communities and memberships

The Human Skills Network and our other communities are intended to provide constructive environments for learning, discussion and professional connection.

When participating, you must treat other members with reasonable respect and must not:

  • post unlawful, abusive, threatening or discriminatory material;
  • harass another member;
  • share another person’s confidential or personal information without permission;
  • post spam or use the community primarily for unsolicited commercial promotion;
  • infringe another person’s intellectual-property rights; or
  • deliberately interfere with the operation or security of the community.

We may reasonably moderate or remove content and may restrict or terminate access where we believe these Terms have been materially breached or where action is reasonably necessary to protect members, our organisation, our intellectual property or the community.

Where appropriate, we will normally seek to resolve issues proportionately before terminating access.

If a future paid membership is subject to additional subscription, renewal or cancellation terms, those will be made clear before purchase.

  1. Content you contribute

You retain ownership of original content you post or contribute to our communities.

By posting content, you give us permission to display and use that content as reasonably necessary to operate the relevant community.

We will not treat your participation as permission to use your name, photograph, comments or contributions as a public testimonial or marketing endorsement without appropriate permission.

Please do not upload or share material that you do not have the right to use.

  1. Mentoring and other professional services

We may provide mentoring, coaching, consultancy and other professional or developmental services online or in person.

The scope, format, duration, price and specific arrangements applying to a service will be set out on the relevant booking page, proposal, order form, statement of work or other written agreement.

Where you purchase a service from us online as an individual consumer, you may have a statutory right to cancel within 14 days.

If you ask us to begin providing a service during that cancellation period, we may ask you to expressly request early performance. If you subsequently exercise a statutory cancellation right after the service has begun, you may be required to pay for the proportion of the service already provided where permitted by law.

Where a service has been fully performed during the cancellation period following the necessary request and acknowledgement, your statutory cancellation right may end.

Specific cancellation, rescheduling and non-attendance arrangements may apply to booked appointments and will be stated at the time of booking where applicable.

  1. Workshops, consultancy and organisational services

We provide workshops, masterclasses, consultancy, facilitation and other professional services to individuals and organisations.

Bespoke or organisational work will normally be described in a proposal, statement of work, order form, licence agreement or other written agreement.

That agreement may cover matters including scope, deliverables, dates, fees, expenses, cancellation, intellectual property, confidentiality and other engagement-specific arrangements.

Where those specifically agreed terms conflict with these general Terms, the specifically agreed terms will take precedence.

  1. Events and retreats

We may provide online and in-person events, workshops and residential retreats.

The relevant booking information will state the principal inclusions, dates, location, price, payment arrangements and other material information applicable to the event or retreat.

Residential retreats may include accommodation, meals, facilitated sessions, activities or services supplied by third parties.

Where third-party services are involved, those elements may also be subject to the relevant supplier’s reasonable terms and operational requirements.

Unless we expressly state otherwise, participants are responsible for arranging and paying for their own travel, travel insurance and personal expenses.

Please tell us in advance about relevant dietary, accessibility or other reasonable requirements so that we can establish what arrangements can reasonably be made. We cannot guarantee that every requirement can be accommodated.

Specific booking conditions may apply to an event or retreat, including provisions concerning deposits, balance payments, participant cancellation, transfers, minimum participant numbers and refunds. These will be made available before booking where applicable.

We may occasionally need to make reasonable changes to an itinerary, facilitator, activity, venue or other arrangement.

If we cancel an event or retreat, or make a material change, we will notify affected participants as soon as reasonably practicable and explain the options available to them.

Nothing in any event or retreat booking conditions affects statutory rights that cannot lawfully be excluded.

  1. Physical products

Where we sell physical products directly to consumers, the product description and price will be displayed before purchase.

Applicable delivery charges and arrangements will be shown or agreed before the order is completed.

Your statutory rights in relation to physical goods, including applicable cancellation rights for distance purchases and remedies for faulty or misdescribed goods, are unaffected by these Terms.

Where more detailed delivery, returns or cancellation provisions apply, these will be made available as part of the relevant purchasing process.

  1. Free resources, assessments and diagnostic tools

We may provide free articles, downloads, assessments, scorecards, diagnostic tools and other resources.

These are intended to support learning, reflection and development. They should not be treated as a definitive diagnosis, professional assessment or guarantee of a particular outcome.

Results generated by assessments or diagnostic tools should be interpreted in context and should not be relied upon as the sole basis for significant personal, employment, organisational, financial, medical or legal decisions.

  1. Nature of our services

Our learning programmes, resources, assessments, mentoring, workshops, consultancy and retreats are intended for education, learning, development and the improvement of relational and professional capabilities.

Unless expressly stated otherwise and provided by a suitably qualified professional in that capacity, our services are not medical care, psychotherapy, counselling, psychiatric treatment, legal advice, financial advice or another regulated professional service.

They should not be used as a substitute for appropriate professional advice, diagnosis or treatment where that is required.

We do not guarantee any particular personal, relationship, professional, organisational, business or financial outcome from participation in our products or services.

  1. Intellectual property

The content, frameworks, learning materials, branding and other intellectual property provided by The 4 Habits Institute are owned by Soulmates Academy Limited or used by us with permission.

This may include our written content, videos, graphics, workbooks, assessments, models, methods, business methodologies, trademarks and proprietary learning frameworks.

EDCAPA® is a registered trademark.

No intellectual-property rights are transferred to you except for the limited rights expressly granted under these Terms or another written agreement with us.

Third-party trademarks and intellectual property remain the property of their respective owners.

  1. Your statutory rights

Nothing in these Terms excludes or restricts rights or remedies that cannot lawfully be excluded or restricted.

Products, digital content and services supplied to consumers must meet the requirements imposed by applicable consumer law.

If you believe something we have supplied does not meet those requirements, please contact us at [email protected]so that we can investigate and seek to resolve the issue.

  1. Our responsibility to you

We are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

We are not responsible for loss or damage that was not foreseeable when the relevant contract was entered into.

Where a product or service is purchased by you as an individual consumer for personal or professional development, we are not responsible for business losses arising from your use of it, including loss of profit, revenue, business opportunity or anticipated savings, to the extent that such liability may lawfully be excluded.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability relating to statutory consumer rights where it cannot lawfully be excluded.

  1. Privacy

We process personal information in accordance with our Privacy Policy, available on The 4 Habits Institute website.

Third-party platforms used to provide our products and services may also process personal information in accordance with their own privacy policies.

  1. Changes to our services and these Terms

We may make reasonable changes to our products, services or these Terms from time to time, for example to reflect changes in law, technology, third-party platforms or the way our services operate.

Changes to these Terms will not retrospectively remove rights that have already arisen under a completed purchase.

Where a material change affects an ongoing paid service or membership, we will take reasonable steps to make affected customers or members aware of it.

The latest version of these Terms will be available on our website.

  1. Restricting or ending access

We may restrict or terminate access to a product, service or community where:

  • you materially breach these Terms or applicable service-specific terms;
  • payment legitimately due remains unpaid;
  • your behaviour presents a material risk to another participant, our organisation, our systems or our intellectual property; or
  • we are legally required to do so.

Where appropriate and reasonably possible, we will explain what has happened and give you an opportunity to resolve the issue.

Termination does not affect rights or obligations that arose before termination.

  1. Complaints and contacting us

We want to resolve problems fairly and promptly.

  1. Other important terms

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

If we do not immediately enforce a right under these Terms, that does not mean we have waived that right.

These Terms are between you and us. No other person has a right to enforce them except where applicable law provides otherwise.

You may not transfer your rights under these Terms to another person without our agreement. We may transfer our rights and obligations where doing so does not reduce your rights.

  1. Governing law

These Terms are governed by the laws of England and Wales.

If you live in England or Wales, you may bring legal proceedings in the English and Welsh courts.

If you live in Scotland, you may bring legal proceedings in either the Scottish or English courts.

If you live in Northern Ireland, you may bring legal proceedings in either the Northern Irish or English courts.

If you live outside the United Kingdom, you may also have rights under mandatory consumer laws applicable in the country where you live, and nothing in these Terms is intended to remove rights that cannot lawfully be excluded.
